Condiciones generales

Términos y condiciones generales entre el corredor y el cliente como consumidor 
1 Prohibición de expedición 
Toda la información, incluyendo los registros de propiedad del corredor, está expresamente destinada al cliente. Queda expresamente prohibida la transmisión de las pruebas e informaciones sobre el objeto a terceros sin el consentimiento expreso del intermediario, que deberá darse previamente por escrito. Si un cliente incumple esta obligación y el tercero u otras personas a las que el tercero ha transmitido la información concluyen el contrato principal, el cliente está obligado a pagar al corredor la comisión acordada con él más el impuesto sobre el valor añadido. 
2 Duplicación de actividades 
El corredor puede actuar tanto para el vendedor como para el comprador. 
3 Datos del propietario 
El corredor señala que la información de la propiedad transmitida por él proviene del vendedor o de un tercero encargado por el vendedor y no ha sido verificada por él, el corredor, para su exactitud. Es responsabilidad del cliente comprobar la exactitud de estos datos. El corredor, que sólo transmite esta información, no asume ninguna responsabilidad por la exactitud. 
4 Deber de informar 
El cliente (propietario) está obligado a preguntar al corredor antes de concluir el contrato de venta previsto, indicando el nombre y la dirección de la parte contratante prevista, si la parte contratante prevista fue introducida por su actividad. El cliente autoriza al corredor a consultar el registro de la propiedad, los documentos oficiales, en particular los expedientes de construcción, así como todos los derechos de información e inspección frente al administrador de la propiedad a los que el cliente tiene derecho como condómino. 
5 Sustitución y seguimiento de las actividades 
El cliente también está obligado a pagar una comisión de acuerdo con nuestras tarifas de comisión acordadas en caso de una transacción de reemplazo. Tal situación existe, por ejemplo, si el cliente se entera de otra oportunidad de celebrar el contrato principal en relación con la actividad realizada por el corredor de su socio contractual principal potencial probado por el corredor o celebra el contrato principal con el sucesor legal del socio contractual principal potencial a través de la oportunidad probada o compra el objeto probado mediante compra en lugar de alquiler, arrendamiento financiero o viceversa. Para desencadenar la obligación de comisión para las operaciones de sustitución, no es necesario que la operación sujeta a comisión sea económicamente equivalente a la operación prevista inicialmente en el sentido de las condiciones desarrolladas por la jurisdicción en relación con el concepto de identidad económica. 
6 Reembolso de gastos 
El cliente está obligado a reembolsar al corredor los gastos comprobables incurridos en el cumplimiento del pedido (por ejemplo, publicidad, presencia en Internet, gastos de teléfono, franqueo, inspecciones de la propiedad y gastos de viaje) si no se ha celebrado un contrato. 
7 Limitación de responsabilidad 
La responsabilidad del corredor se limita a una conducta negligente o intencionada, siempre y cuando el cliente no sufra lesiones físicas o pierda la vida por el comportamiento del corredor. 
8 Limitación de las acciones 
El plazo de prescripción para todas las reclamaciones por daños y perjuicios del cliente contra el corredor es de 3 años. Comienza en el momento en que se ha cometido el acto que da lugar a la obligación de pagar daños y perjuicios. En caso de que la prescripción legal conduzca a una prescripción más corta para el corredor en casos individuales, se aplicarán estas disposiciones.
9 Jurisdicción 
Si el corredor y el cliente son comerciantes registrados en el sentido del Código de Comercio alemán, el lugar de cumplimiento de todas las obligaciones y reclamaciones derivadas de la relación contractual y el lugar de jurisdicción será el domicilio social del corredor. 
10 Cláusula de divisibilidad 
En caso de invalidez de una o varias de las disposiciones anteriores, ello no afectará a la validez de las disposiciones restantes. Esto también se aplica si una parte de una disposición es inválida, pero otra parte es válida. La disposición inválida será sustituida por una disposición entre las partes que se acerque lo más posible a los intereses económicos de las partes contratantes y que, por lo demás, no sea contraria a los acuerdos contractuales. 


Directrices para la preparación de acuerdos individuales 
Los contratos libremente negociados, los llamados contratos individuales, siempre tienen prioridad sobre las condiciones generales. Dado que el derecho de los contratos de corretaje está impregnado por el principio de la libertad contractual, todos los acuerdos pueden celebrarse efectivamente mediante contratos individuales hasta los límites de la inmoralidad, la ilegalidad y el abuso. Sin embargo, los acuerdos individuales son muy difíciles de redactar. El contrato individual debe negociarse libremente para determinar, discutir, aclarar, formular y firmar de mutuo acuerdo los diferentes intereses, ideas y opiniones de las partes. Este acuerdo individual debe ser entregado al cliente en un documento especial, combinado con un período máximo de reflexión de 2 días. Si el cliente firma este acuerdo, el acuerdo individual debería resistir con cierta certeza la revisión de los tribunales. 
Los acuerdos individuales y no los términos y condiciones generales deben ser concluidos en los siguientes casos: 
a. Cuando se acuerda un contrato de corretaje calificado 
El llamado contrato de corretaje calificado restringe la libertad del cliente corredor en la medida en que el cliente no puede llamar a más corredores mientras dure dicho contrato ni se le permite vender la propiedad por sí mismo. La prohibición de la propia transacción significa que durante la vigencia de la orden de corretaje calificada sólo el corredor tiene derecho a probar y mediar el objeto que ha celebrado el contrato con el cliente y el cliente tiene que remitir a todas las partes interesadas que se encuentra o que se le acercan debido a la compra del objeto a su corredor comisionado, para involucrar al corredor de modo que pueda concluir con éxito la transacción entre el vendedor y el comprador. Este caso suele estar relacionado con el acuerdo adicional de que en caso de incumplimiento de la cláusula de inclusión y remisión acordada, el cliente pagará la comisión completa. 
b. En la adquisición de la propiedad en la venta de ejecución hipotecaria 
En caso de compraventa forzosa de un bien inmueble por parte del cliente, debe celebrarse un acuerdo individual para garantizar la comisión del corredor. Esto es necesario porque la ley de contratos de corretaje concede al corredor una reclamación de comisión por la prueba o la mediación de un contrato (§ 652 I S. 1 BGB), pero no por la adquisición de la propiedad en el ámbito de un acto soberano, a saber, el knockdown en la subasta forzada. Esto no cambia el hecho de que el resultado económico se obtiene de la misma manera cuando se adquiere la tierra. 
c. En el caso de las llamadas interdependencias 
Si el cliente le promete al corredor una comisión en conocimiento de circunstancias que le impiden cobrar una comisión, entonces el cliente debe pagar la comisión. Las interdependencias normalmente requieren la conclusión exitosa de la transacción, el contrato notarial legalmente efectivo. Sin embargo, encuentran su deficiencia en el contexto causal. Por regla general, se trata de acuerdos de remuneración que, según la voluntad de las partes, deben ser independientes de una actividad causal del corredor en el sentido del § 652 I frase 1 ("como resultado"). En el caso de tal promesa de comisión, el cliente es consciente de los vínculos entre el corredor y el hecho de que el corredor no puede recibir ninguna comisión en estos casos. d. Para las promesas de comisión por incumplimiento 
El pago de una comisión independiente del éxito contradice el modelo del derecho al contrato de corretaje. Porque el contrato de corretaje presupone un cliente corredor que es libre en sus decisiones y que sólo tiene que pagar la comisión en caso de éxito, es decir, con la celebración legalmente efectiva del contrato notarial. Por lo tanto, una comisión independiente del éxito nunca puede ser garantizada por términos y condiciones generales pre-formulados, sino siempre sólo por acuerdos individuales. Para ello hay una nueva decisión del Tribunal Supremo Federal de 12.10.2006 al número de expediente III ZR 331/04, en la que el BGH aclaró que la declaración de un cliente, se paga con una venta de la casa en cada caso una comisión al corredor, tal promesa de comisión independiente de éxito independiente puede representar, incluso si el contrato llega finalmente sin el corredor. Una condición es que el corredor hizo algo en absoluto, como por ejemplo proporcionar un Exposee. Sólo en el caso de que faltara alguna consideración sobre el corredor, podría estar presente una promesa de donación, que sería ineficaz sin la certificación notarial.
